A $2.32 billion joint venture gives French oil company Total S.A. a 25 percent stake in Chesapeake Energy Corp.’s Utica Shale holdings in Ohio. The sale was announced Tuesday, and the deal closed Dec. 30, according to a news release from Chesapeake.
It involved 619,000 acres of the liquids-rich Utica area in all or a portion of 10 counties in eastern Ohio, including Mahoning, Trumbull and Columbiana counties.
Chesapeake contributed to approximately 542,000 net acres of the joint venture, and Houston-based EnerVest, Ltd. contributed about 77,000 net acres.
Chesapeake received about $2.03 billion in the sale, and was paid about $610 million in cash at closing. The remainder will be paid in the form of a drilling and completion cost carry, which Chesapeake anticipates fully receiving by year-end 2014.
EnerVest was paid about $290 million. Chesapeake will serve as the operator of the joint venture and will conduct all leasing, drilling, completing, operating and marketing activities for the project, the news release said.
